Terms & Conditions
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User") and Wyzaerd Consulting, Inc. ("Company", "we", "us", or "our") governing your use of the WyzBooks desktop accounting software ("Software"). By installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of the Software and remove it from your computer.
1. License Grant
Subject to your compliance with these Terms, Wyzaerd Consulting, Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, perpetual license to install and use the Software on one (1) Apple Macintosh computer that you own or control. This license does not convey any ownership interest in the Software. All rights not expressly granted herein are reserved by the Company.
You may not: (a) copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the Software; (b) distribute, sublicense, lease, rent, sell, or otherwise transfer the Software to any third party; (c) remove, alter, or obscure any proprietary notices on the Software; or (d) use the Software for any unlawful purpose.
2. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SPECIFICALLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE COMPANY DOES NOT WARRANT THAT: (A) THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS, CALCULATIONS, REPORTS, OR DATA OBTAINED FROM THE USE OF THE SOFTWARE WILL BE ACCURATE, RELIABLE, OR CORRECT; OR (D) ANY ERRORS OR DEFECTS IN THE SOFTWARE WILL BE CORRECTED.
3. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WYZAERD CONSULTING, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF, INABILITY TO USE, OR RELIANCE UPON THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SOFTWARE OR THESE TERMS EXCEED THE AMOUNT YOU ACTUALLY PAID TO THE COMPANY FOR THE SOFTWARE LICENSE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE COMPANY'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
4. Not Professional Advice
The Software is a bookkeeping and accounting tool designed to assist with financial record-keeping. It is NOT a substitute for professional accounting, tax, legal, or financial advice. The Company is not an accounting firm, tax advisor, or financial services provider.
- You are solely responsible for the accuracy, completeness, and correctness of all data entered into the Software and all financial records maintained using the Software.
- You should not rely solely on the Software for tax filing, regulatory compliance, financial reporting to third parties, or any other purpose where errors could result in financial harm or legal liability.
- You should independently verify all calculations, reports, balances, and financial summaries produced by the Software with a qualified accountant or certified public accountant (CPA).
- The Company makes no representations or warranties regarding the compliance of the Software or its outputs with any accounting standards, tax codes, regulatory requirements, or Generally Accepted Accounting Principles (GAAP).
- Any references to GAAP, double-entry accounting, or accounting standards in the Software or its documentation are descriptive of the Software's design approach and do not constitute a guarantee of compliance.
5. Indemnification
You agree to indemnify, defend, and hold harmless Wyzaerd Consulting, Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Software; (b) your violation of these Terms; (c) any inaccuracy in data you enter into the Software; (d) any reliance you place on the outputs, reports, calculations, or data produced by the Software; (e) any tax filings, financial reports, or business decisions made based on information from the Software; or (f) your violation of any applicable law or regulation.
6. Data and Backups
All data created, entered, or stored using the Software resides solely on your local computer. The Company does not host, access, transmit, back up, or have any control over your data.
- You are solely responsible for maintaining adequate backups of your data files.
- The Company is not liable for any loss, corruption, or destruction of data, whether caused by hardware failure, software defects, user error, or any other cause.
- You acknowledge that accounting data is sensitive and critical, and you assume all risk associated with the storage, protection, and integrity of your data.
7. Intellectual Property
The Software, including all code, documentation, visual design, logos, trademarks, and other materials, is and shall remain the exclusive property of Wyzaerd Consulting, Inc. and is protected by copyright, trademark, and other intellectual property laws. Your license to use the Software does not grant you any ownership rights in the Software or any of its components. "WyzBooks" and "Wyzaerd" are trademarks of Wyzaerd Consulting, Inc.
8. Support and Updates
The optional annual Support & Updates plan provides email support and access to major version upgrades. This plan is entirely optional. The Company is under no obligation to provide support, maintenance, updates, patches, or bug fixes for the Software. Canceling the support plan does not affect your perpetual license to use the version of the Software you purchased.
9. Refund Policy
The Company offers a 30-day money-back guarantee from the date of purchase. If you are unsatisfied with the Software for any reason, you may request a full refund within 30 days of purchase by contacting us at wyzbooks@wyzaerd.com. After 30 days, all purchases are final and non-refundable.
10. Termination
The Company may terminate your license and these Terms immediately if you breach any provision of these Terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession. Sections 2 through 7 (Disclaimer of Warranties, Limitation of Liability, Not Professional Advice, Indemnification, Data and Backups, and Intellectual Property) shall survive any termination of these Terms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Vermont, United States, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Software shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Vermont. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue therein.
12. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding the Software and supersede all prior agreements, understandings, and communications.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms or your rights hereunder without the prior written consent of the Company. The Company may assign these Terms without restriction.
- Modifications: The Company reserves the right to modify these Terms at any time. Updated Terms will be made available within the Software. Your continued use of the Software after any modifications constitutes acceptance of the updated Terms.
